Agreement to These Terms
MRC Marketing LLC ("Company," "we," "us," or "our") is an Ohio company at 336 East National Rd Vandalia, OH 45377.
We operate resourcemedicare.com and any related products and services that link to these terms (collectively, the "Services").

These Terms are a legally binding agreement between you (personally or on behalf of a company) and MRC Marketing LLC. By using the Services, you agree to be bound by them. If you don't agree, don't use the Services.
We may update these Terms at any time. Changes take effect when posted, and the "Last Updated" date will reflect them. It's your responsibility to check back. Continued use means you accept the updated terms.
The Services are for users 18 and older.
We recommend saving a copy of these Terms for your records.

1. Our Services
The Services aren't intended for use in jurisdictions where doing so would violate local laws or require us to register. If you access them from outside the U.S., that's your call and your responsibility for following local law.
The Services are not built to comply with industry-specific rules like HIPAA, FISMA, or GLBA. If your use of the Services would fall under those laws, don't use them.
2. Intellectual Property
What we own
We own or license everything in the Services — source code, databases, software, designs, audio, video, text, photos, graphics ("Content"), and our trademarks, service marks, and logos ("Marks"). It's all protected by U.S. and international copyright and trademark law.
The Content and Marks are provided as-is for your personal, non-commercial use or internal business use only.
What you can do
As long as you follow these Terms, you have a non-exclusive, non-transferable, revocable license to:

  • Access the Services

  • Download or print Content you've properly accessed

You may not copy, republish, distribute, sell, license, or commercially exploit any part of the Services, Content, or Marks without our written permission. For permission requests, email assistance@resourcemedicare.com.
If we grant permission, you must credit us as the owner and keep all copyright notices intact.
Any IP violation is a material breach of these Terms and ends your right to use the Services immediately.
Your submissions and contributions
Submissions — If you send us a question, comment, suggestion, idea, or feedback, you assign us all IP rights in it. We can use it however we want, without paying or crediting you.
Contributions — If the Services let you post in forums, comments, reviews, etc., anything you post is a "Contribution." Contributions may be visible to other users.
By posting a Contribution, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable license to use, copy, modify, distribute, display, and otherwise exploit it (including your name, image, and voice) for any purpose, including commercial. We can sublicense these rights.
When posting Contributions, you confirm that:

  • You're not violating our Prohibited Activities (Section 7)

  • You waive any moral rights to the content (where the law allows)

  • The content is original to you, or you have the rights to post it

  • It contains no confidential information

You're responsible for what you post and agree to reimburse us for any losses caused by your Contributions.
We may remove or edit Contributions at any time, suspend or disable your account, and report violations to law enforcement.
3. Your Representations
By using the Services, you confirm that:

  1. The registration info you give us is true, accurate, current, and complete

  2. You'll keep that info up to date

  3. You have legal capacity to agree to these Terms

  4. You're not a minor in your jurisdiction

  5. You won't use bots, scripts, or other automated means to access the Services

  6. You won't use the Services for anything illegal or unauthorized

  7. Your use won't violate any law or regulation

If any of this turns out to be false, we can suspend or terminate your account.
4. User Registration
You may need to register to use the Services. Keep your password confidential — you're responsible for everything that happens under your account. We can change or reclaim a username if we find it inappropriate.
5. Purchases and Payment
We accept:

  • Visa

  • Mastercard

  • American Express

  • Discover

  • PayPal

You agree to provide current, accurate purchase and payment info, and to keep it updated. Sales tax will be added where required. Prices may change. All payments are in U.S. dollars.
You authorize us to charge your payment method for your purchases and any shipping. We can correct pricing errors even after a payment is processed.
We can refuse or cancel any order at our discretion, including limiting quantities per customer, household, account, or address. We can prohibit orders that look like they're from dealers, resellers, or distributors.
6. Subscriptions
Billing and renewal
Subscriptions automatically renew until you cancel. You authorize recurring charges to your payment method without separate approval for each one.
Cancellation
Cancel any time by logging into your account. Cancellation takes effect at the end of your current paid term. Questions or issues? Email assistance@resourcemedicare.com.
Fee changes
We may adjust subscription fees. We'll notify you of changes as required by law.
7. Prohibited Activities
Use the Services only for what they're intended for. Don't use them for unapproved commercial purposes.
You agree not to:

  • Scrape or systematically collect data from the Services without written permission

  • Deceive or defraud us or other users (especially to obtain account info or passwords)

  • Bypass security features or usage restrictions

  • Disparage or harm us or the Services

  • Use info from the Services to harass, abuse, or harm anyone

  • Misuse our support or submit false reports

  • Use the Services in violation of any law

  • Frame or link to the Services without authorization

  • Upload viruses, malware, or anything that disrupts the Services or other users

  • Use bots, scripts, scrapers, or other automated tools

  • Remove copyright or proprietary notices

  • Impersonate other users

  • Plant tracking pixels, web bugs, or other passive data-collection tools

  • Burden or disrupt our networks or services

  • Harass our staff

  • Reverse engineer, decompile, or disassemble our software (unless the law allows it)

  • Use buying agents to purchase from us

  • Collect usernames or emails to send spam, or create accounts by automated or fake means

  • Use the Services to compete with us or for commercial gain we haven't approved

  • Advertise or sell goods and services through the Services

8. User Contributions
The Services may let you participate in chats, forums, blogs, comments, or similar features. Anything you post there ("Contributions") may be visible to other users and may be treated as non-confidential and non-proprietary.
When you post a Contribution, you confirm that:

  • It doesn't infringe anyone's copyright, patent, trademark, trade secret, or moral rights

  • You either created it or have the rights to use it

  • You have written permission from anyone identifiable in it to use their name or likeness

  • It's not false, misleading, or inaccurate

  • It's not spam, advertising, or a pyramid scheme

  • It's not obscene, harassing, defamatory, or otherwise objectionable

  • It doesn't mock, intimidate, or abuse anyone

  • It doesn't promote violence or threaten anyone

  • It doesn't violate any law, including child-protection laws

  • It doesn't violate anyone's privacy or publicity rights

  • It doesn't contain offensive content tied to race, national origin, gender, sexual preference, or disability

  • It doesn't otherwise violate these Terms or any law

Violating any of these can result in suspension or termination.
9. Contribution License
By posting Contributions, you grant us a worldwide, perpetual, irrevocable, non-exclusive, transferable, royalty-free, fully-paid license to host, copy, distribute, display, modify, translate, and otherwise use your Contributions for any purpose, including commercial. This includes your image, voice, name, and any related trademarks or logos. You waive moral rights and confirm none have been asserted.
You retain ownership of your Contributions — we're not claiming them. But we're not liable for anything in them, and you're solely responsible for what you post.
We can edit, recategorize, or delete Contributions at our discretion, with or without notice. We're not obligated to monitor them.
10. Service Management
We reserve the right (but aren't obligated) to:

  1. Monitor the Services for violations

  2. Take legal action against violators, including reporting to law enforcement

  3. Refuse, restrict, or disable any Contributions

  4. Remove oversized or burdensome files

  5. Otherwise manage the Services to protect our rights and keep things running smoothly

11. Privacy Policy
We take privacy and security seriously. Review our Privacy Policy at https://www.resourcemedicare.com/privacy-policy — it's incorporated into these Terms.
Mobile and SMS data: No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties.
The Services are hosted in the United States. If you use them from another country, your data is transferred to the U.S. for processing, and you consent to that transfer.
12. Copyright Infringement
We respect IP rights. If you believe content on the Services infringes your copyright, contact us using the info in Section 25. We'll send a copy of your notification to whoever posted the material. Note that you can be liable for damages if you misrepresent the infringement — if you're not sure, consult an attorney first.
13. Term and Termination
These Terms apply for as long as you use the Services.
WE RESERVE THE RIGHT TO DENY ACCESS, BLOCK IP ADDRESSES, TERMINATE ACCOUNTS, OR DELETE CONTENT AT ANY TIME, WITHOUT NOTICE, FOR ANY REASON — including any breach of these Terms or applicable law.
If we terminate your account, you can't create a new one under your name, a fake name, or someone else's name. We may also pursue legal action — civil, criminal, or injunctive.
14. Modifications and Interruptions
We may change, modify, or remove content from the Services at any time without notice. We're not obligated to update anything.
We can't guarantee the Services will always be available — there may be downtime for maintenance, bugs, or unforeseen issues. We're not liable for any inconvenience or loss caused by interruptions, modifications, or discontinuation.
15. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law rules.
16. Dispute Resolution
Any legal action must be brought in state or federal courts in Montgomery, Ohio. Both parties consent to jurisdiction there and waive defenses based on inconvenient forum.
The UN Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) don't apply.
Any claim must be brought within one (1) year of when the cause of action arose.
17. Corrections
The Services may contain typos, inaccuracies, or omissions — including pricing, availability, and product descriptions. We can correct them at any time without notice.
18. Disclaimer
THE SERVICES ARE PROVIDED "AS-IS" AND "AS-AVAILABLE." YOUR USE IS AT YOUR SOLE RISK.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranties about the accuracy or completeness of any Content or linked sites, and we're not liable for:

  1. Errors or inaccuracies in Content

  2. Personal injury or property damage from using the Services

  3. Unauthorized access to our servers or your personal information

  4. Service interruptions

  5. Viruses, malware, or similar threats transmitted by third parties

  6. Any loss or damage from Content posted on the Services

We don't endorse or take responsibility for third-party products or services advertised through the Services. Use your own judgment.
19. Limitation of Liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — including lost profits, lost revenue, data loss, or other damages — arising from your use of the Services, even if we've been advised of the possibility.
20. Indemnification
You agree to defend, indemnify, and hold harmless MRC Marketing LLC and our affiliates, officers, agents, partners, and employees from any claim, loss, damage, or liability (including attorneys' fees) arising from:

  1. Your Contributions

  2. Your use of the Services

  3. Your breach of these Terms

  4. Your breach of representations or warranties

  5. Your violation of any third party's rights, including IP rights

  6. Any harmful act toward another user

We reserve the right to take over the defense of any matter you'd otherwise indemnify us for, at your expense. You agree to cooperate.
21. User Data
We maintain certain data you transmit to the Services to run them. We do routine backups, but you're responsible for your own data. We're not liable for any loss or corruption of data, and you waive any right to take legal action against us over it.
22. Electronic Communications and Signatures
Using the Services, emailing us, and filling out forms count as electronic communications. You consent to receiving electronic communications from us, and you agree that any agreements, notices, or disclosures delivered electronically satisfy legal requirements for written communication.
YOU CONSENT TO USING ELECTRONIC SIGNATURES, CONTRACTS, AND RECORDS. You waive any rights requiring original signatures or non-electronic delivery of records or payments.

24. Miscellaneous
These Terms and any posted policies are the entire agreement between you and us. Our failure to enforce any provision isn't a waiver. We can assign our rights and obligations at any time. We're not liable for delays or failures caused by anything beyond our reasonable control.
If any provision is found unlawful or unenforceable, it's severed from these Terms without affecting the rest. There's no joint venture, partnership, or employment relationship between us as a result of these Terms. You agree these Terms won't be construed against us for having drafted them. You waive any defenses based on the electronic form of these Terms or lack of signature.
